Terms of Service
These terms are the agreement between you and Herald Signage. They're written to be read — plain language, no games. If something here is unclear, ask before you sign up rather than after.
Who you're dealing with
Herald Signage (“Herald”) is a product of Accutek Solutions, operated by Jacob Neudorf, doing business as Accutek Solutions, a sole proprietorship based in Texas, United States. Mailing address: 1100 3rd St, Graham, TX 76450, United States. You can reach a human at support@heraldsignage.com.
“Herald”, “we”, and “us” all mean the same party above. You may see Accutek Solutions rather than Herald on an invoice or a bank statement. “You” means the organization using the service, and anyone you let use it on your behalf.
What Herald does
Herald Signage runs digital signage and live video on screens you own. You upload content, arrange it into playlists and schedules, and Herald delivers it to player devices (typically Raspberry Pi computers) on your network. Paid plans can also send live video from your booth to those screens.
We may change or improve features over time. If we remove something you depend on, we will tell you before it goes, not after.
Accounts and eligibility
Herald is currently offered only to customers in the United States. You must be at least 18 and authorized to enter this agreement for your organization.
You are responsible for your account: keeping passwords private, choosing who gets access, and what those people do. Tell us promptly at support@heraldsignage.com if you believe an account has been compromised.
Plans, prices, and how billing works
Herald has a free tier and paid plans. Current plans and prices are on our pricing section. Paid plans renew automatically — monthly or annually, whichever you chose — until you cancel.
Payments are handled by Paddle, who act as the merchant of record for Herald. That means Paddle is the seller for your transaction: they process the payment, handle sales tax, and issue your invoice. Their terms and privacy notice also apply to the payment itself, and their name may be what appears on your statement. We never see or store your card details.
If we change prices, existing subscribers get at least 30 days’ notice before it affects a renewal, and you can cancel before then.
Cancelling, and our refund policy
You can cancel at any time, from the billing page in your dashboard. When you cancel, your plan stays active through the end of the period you have already paid for, and then drops to the free tier.
We do not give partial refunds for the unused part of a billing period. If something has genuinely gone wrong — you were billed twice, or charged after cancelling — email us and we will make it right.
Dropping to the free tier does not delete anything. Screens already running keep running; you simply can’t add beyond the free limits until you upgrade again.
Player hardware
Player kits are sold separately from your subscription and are yours once delivered. Hardware carries its manufacturer’s warranty; we pass through any warranty claim we can. If a kit arrives dead or damaged, tell us within 30 days of delivery and we will replace it.
You can also supply your own hardware. Herald is not tied to devices bought from us.
Your content stays yours
Everything you upload — images, video, slides, schedules — remains yours. You give us only the permission we need to actually run the service: to store your content, process it (for example, converting a video so a player can decode it), and deliver it to your own devices. Nothing more. We do not use your content to advertise, to train anything, or to sell to anyone.
You are responsible for having the right to display what you upload — including music licensing, stock imagery terms, and permission for photos of identifiable people, especially minors.
Acceptable use
Don’t use Herald to:
- break the law, or display content that is illegal where your screens are;
- infringe someone else’s copyright, trademark, or privacy;
- attack, probe, or overload our systems, or anyone else’s;
- resell Herald as your own product without a written agreement with us;
- work around plan limits, or share one account across separate organizations.
Uptime, maintenance, and support
We work hard to keep Herald running, and the players are deliberately built to survive losing us — they keep showing their scheduled content when the internet or our servers are unavailable. But we are a small operation and we do not offer a contractual uptime guarantee or service credits at these prices. Please read that as honesty, not indifference.
Support is by email at support@heraldsignage.com. We aim to respond within one business day, and faster when screens are down on a weekend.
Suspension and termination
You can close your account whenever you like. We may suspend or close an account for non-payment, for a serious or repeated breach of these terms, or where we must for legal reasons. Except in urgent cases we will warn you first and give you a chance to fix it.
One thing we commit to: if we suspend an account, your screens keep playing the content already on them. Suspension blocks people signing in to make changes — it does not black out your screens mid-event over an unpaid invoice.
Getting your data out
Your content is yours to take. While your account is open you can download your media at any time, and you can ask us for an export of your account data by emailing support@heraldsignage.com.
After you close your account we keep your data for 30 days so it can be recovered if you change your mind or someone closed it by mistake, then we delete it. Encrypted backups age out on their own rotation shortly after.
Disclaimers
Herald is provided “as is”. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or goodwill.
Our total liability for any claim relating to Herald is limited to the amount you paid us in the 12 months before the claim arose. If you are on the free tier, that amount is zero, and your remedy is to stop using the service.
Some states don’t allow certain limitations, in which case the limits above apply only as far as that state permits.
Indemnity
You agree to cover us against third-party claims arising from content you display through Herald or your misuse of the service — for example, a claim that a video you put on your lobby screen infringed someone’s copyright.
Changes to these terms
We may update these terms. For material changes we will email account admins and update the date at the top at least 30 days before they take effect. Continuing to use Herald after that means you accept the new terms; if you don’t, cancel before they land.
Governing law
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute goes to the state or federal courts located in Texas, and both of us consent to that venue.
